Terms of Service

These Terms of Service (“Terms”) govern access to and use of the REGREP platform, software, APIs, and related services (the “Services”) provided by REGREP (“REGREP”, “we”, “us”, or “our”). By accessing or using the Services, you (“Customer”, “you”) agree to be bound by these Terms. If you do not agree to these Terms, you may not use the Services.

1. Scope of Services

REGREP provides regulatory reporting infrastructure and technical tools designed to support the preparation, management, validation, and generation of regulatory reporting data. The Services are provided as software-as-a-service (SaaS) and may include access to reporting engines, data processing tools, APIs, and related functionality, as described in applicable documentation or commercial agreements. REGREP does not provide legal advice, regulatory interpretation, or compliance certification.

2. Customer Responsibilities

The Customer is solely responsible for determining whether the Services are suitable for its regulatory obligations, ensuring the accuracy, completeness, and legality of all data submitted to the Services, and complying with all applicable laws, regulations, and supervisory requirements. Use of the Services does not transfer regulatory responsibility from the Customer to REGREP.

3. Account Access & Security

The Customer is responsible for maintaining the confidentiality of account credentials and for all activities conducted under its account. REGREP may suspend or restrict access to the Services where it reasonably believes there has been unauthorised access, misuse, or a security risk.

4. Data Processing & Privacy

REGREP processes personal data in accordance with applicable data protection laws, including the General Data Protection Regulation (GDPR). Where REGREP processes personal data on behalf of a Customer, such processing is governed by the applicable Data Processing Agreement (DPA), which forms part of the contractual relationship between the parties. 5. Intellectual Property

All intellectual property rights in the Services, including software, documentation, and underlying technology, remain the exclusive property of REGREP or its licensors. These Terms do not grant the Customer any ownership rights in the Services, except for the limited right to access and use the Services in accordance with these Terms and any applicable agreement.

6. Availability & Changes to the Services

REGREP may update, modify, or enhance the Services from time to time to improve functionality, address regulatory changes, or maintain security. REGREP does not guarantee uninterrupted availability of the Services and may perform maintenance or updates that temporarily affect access.

7. Fees & Payment

Access to certain Services may be subject to fees as set out in a separate commercial agreement, order form, or pricing schedule. Failure to pay applicable fees may result in suspension or termination of access to the Services.

8. Limitation of Liability

To the maximum extent permitted by law, REGREP shall not be liable for indirect, incidental, consequential, or economic losses. REGREP does not guarantee regulatory acceptance, approval, or compliance outcomes. Nothing in these Terms limits liability that cannot be excluded under applicable law.

9. Disclaimer

The Services are provided “as is” and “as available”. REGREP makes no warranties, express or implied, regarding regulatory compliance, supervisory outcomes, or fitness for a particular regulatory purpose.

10. Termination

REGREP may suspend or terminate access to the Services where these Terms are materially breached, where required by law or regulation, or where continued access poses a security or legal risk. Termination does not affect accrued rights or obligations.

11. Governing Law

These Terms are governed by and construed in accordance with the laws specified in the applicable commercial agreement or, where none exists, the laws of the jurisdiction in which REGREP is established.

12. Changes to These Terms

REGREP may update these Terms from time to time. Material changes will be communicated where required by law or contract. The effective date of the current version is indicated above.
